Welcome to CostaLingo. These Terms and Conditions ("Terms") govern your access to and use of the CostaLingo website and services ("Service") operated by 100% Spanish LLC DBA CostaLingo ("CostaLingo", "we," "us," or "our"), a Spanish language school based in Louisville, Kentucky, United States. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Eligibility

Adults 18 years of age or older may register and enroll directly. Students under 18 must be enrolled by a parent or legal guardian, who assumes responsibility for compliance with these Terms on the student's behalf. By completing enrollment, you represent that you have the legal capacity to enter into a binding agreement, or are acting as the parent or guardian of the enrolling minor.

2. Account Registration

Certain features of the Service require you to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

3. Enrollment Inquiries and Applications

By submitting an enrollment inquiry or application through the Service, you acknowledge and agree that:

• All information provided is truthful, accurate, and complete
• You authorize us to verify the information you provide as part of the enrollment process
• Submission of an inquiry or application does not guarantee acceptance or enrollment in any program or class
• We reserve the right to approve or deny any application at our sole discretion in accordance with applicable laws
• Application data, including photographs and uploaded documents, will be stored securely and used solely for evaluating and administering your enrollment

4. Membership and Enrollment Terms

Membership is a flat monthly fee. Key terms include:

• A $49 non-refundable enrollment fee is due at initial sign-up
• The first month's tuition will be prorated based on the date of enrollment
• All new beginner and intermediate students receive a complimentary copy of CostaLingo's textbook; additional books and materials are an additional cost
• Most months include four (4) or five (5) classes; on rare occasions three (3) classes when observing major national holidays
• CostaLingo provides approximately 48 classes per calendar year
• Membership requires a minimum commitment of two (2) full calendar months beyond the initial enrollment/prorated month
• Membership is not transferable

Group Classes

Group class pricing varies by program and level. Please contact us or visit the CostaLingo portal for current rates and available class times.

Private Classes

Private class sessions are available in multiple durations and at varying monthly rates, including options designed for younger students. Please contact us or visit the CostaLingo portal for current pricing. The first month's classes will be prorated.

Fixed-length class packages, when offered, have the price, number of classes, and duration shown at enrollment rather than a monthly membership fee.

5. Tuition Payments

Monthly membership fees are charged automatically via credit card on the first (1st) of each month. We accept American Express, Discover Card, Mastercard, and Visa.

• Beginning October 1, 2026, a $30 late fee per enrollment is automatically assessed when any tuition balance remains unpaid five (5) calendar days after its due date. For monthly tuition due on the first, the fee is assessed on the 6th of the month. Each overdue enrollment is assessed separately.
• A $30 returned payment fee applies to any returned or declined payment
• Tuition already paid is non-refundable once the billing period has begun
• Specific tuition amounts and any applicable discounts are defined in your enrollment agreement

6. Holiday Closures

CostaLingo is closed on the following holidays. No classes or make-up classes are held on these dates:

• Memorial Day
• Independence Day (July 4th)
• Labor Day
• Thanksgiving Day and the Friday after Thanksgiving
• December 24th through January 1st (inclusive)

7. Attendance and Absences

Students are expected to attend classes regularly and be punctual. The following attendance policies apply:

• We are not able to issue refunds for classes that students have missed or only partially attended
• Students are encouraged to complete assigned homework so they can progress at the same pace as their peers
• Weather closures: If Jefferson County Public Schools (JCPS) are closed due to inclement weather, CostaLingo will also be closed. Check with us before attending on weather-affected days. We are not able to issue refunds for classes canceled due to inclement weather
• Class sessions may occasionally run 25, 55, or 85 minutes to allow instructors adequate break time

Group Classes

• Group class sessions are shared with other enrolled students. No make-up classes or make-up credits are offered for group classes.
• If you miss a group class for any reason, that session cannot be recovered or rescheduled.
• If you travel frequently or have a variable schedule, a private class membership may better suit your needs.

8. Class Session Rescheduling — Private & Semi-Private Classes

Each scheduled private or semi-private class session may be rescheduled one (1) time. Once a session has been rescheduled, the following restrictions apply to that session:

• No further rescheduling of that session is permitted, regardless of the reason
• No make-up credit will be issued for that session
• The only available option is cancellation without credit

This policy applies per individual class session, not per enrollment. If CostaLingo cancels or reschedules a session due to instructor unavailability or a school closure, that cancellation does not count toward the student's one-reschedule limit.

Private Classes — cancellations and make-up credits

1. A Make-up Class Credit will be issued when a class is cancelled with at least 24 hours' advance notice. Cancellations must be submitted online through the CostaLingo portal. Classes cannot be rescheduled by phone.
2. Cancellations made with less than 24 hours' notice do not qualify for a Make-up Class Credit.
3. No more than three (3) Make-up Class Credits may be pending at a time per membership.
4. Make-up Class Credits may be used to schedule a make-up class online at any time with your teacher or another available teacher.
5. Make-up Class Credits expire 60 days from the original cancellation date and must be used before that date.
6. All payments must be current to receive or use a make-up credit.
7. Private classes with up to 3 students may be rescheduled only if all members of the group provide at least 24 hours' notice. No make-up class will occur when only a subset of a private group misses class.
8. If you travel frequently or have a variable schedule, plan ahead to schedule additional sessions during weeks when you know you will be available.

9. Cancellation and Withdrawal Policy

Membership requires a minimum commitment of two (2) full calendar months beyond the initial enrollment/prorated month. After the minimum commitment period, members may cancel their membership subject to the following terms:

Example: A student enrolls August 15. The prorated August month does not count. The two required full months are September and October. The earliest possible exit date is October 31, provided notice is submitted by 11:59 PM ET on October 30 (the second-to-last day of October).

• A cancellation request must be submitted no later than 11:59 PM Eastern Time on the second-to-last day of the current month via the cancellation form in your student portal or by email at admin@costalingo.com. Cancellation takes effect at the end of that same month — no additional month is charged
• If proper notice is not received by the deadline, CostaLingo remains authorized to charge the credit card on file for the next monthly membership fee, and cancellation will take effect at the end of that following month
• Tuition already paid is non-refundable once the billing period has begun
• The applicable program enrollment fee will be required to re-enroll after a cancellation takes effect. This fee is waived for students who re-enroll within 60 days of their cancellation effective date.
• CostaLingo reserves the right to terminate a membership at its discretion, in which case prorated membership fees for unused classes will be refunded

Your previous class time and spot are not guaranteed to be available upon return.

Private Classes

• All Make-up Class Credits expire on the cancellation effective date.

10. Class Rules and Student Responsibilities

As a student (or as the parent/guardian of an enrolled minor), you agree to:

• Attend classes regularly and notify the school of any absences promptly
• Complete assigned coursework and practice materials as directed
• Treat instructors, staff, and fellow students with respect
• Not engage in disruptive behavior during class sessions, whether in person or online
• Not engage in any academic dishonesty or misconduct
• Abide by all classroom rules and guidelines

CostaLingo may substitute or change teachers at any time and for any reason.

11. No Side Arrangements with Instructors

CostaLingo invests considerable resources in recruiting, training, and fairly compensating its instructors. To protect this investment and ensure quality standards, students, their relatives, and/or their friends are not permitted to make private arrangements or side deals with CostaLingo instructors for language instruction outside of CostaLingo's programs without CostaLingo's written consent. Any instruction provided through such arrangements will be considered a violation of these Terms and may result in termination of membership.

12. Recording and Photography Consent

CostaLingo may photograph, video-record, or otherwise capture images or audio of class sessions, school events, and related activities. By enrolling in a CostaLingo class, you (and, for minors, your parent or guardian) grant CostaLingo a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, display, and create derivative works from any photographs, video recordings, or other media in which you appear that were taken or created by CostaLingo or its staff, for any lawful business purpose, including but not limited to:

• Marketing, advertising, and promotional materials (website, social media, print, video)
• Internal training and quality review
• Student access to recorded class sessions
• Educational content and curriculum development
• Public relations and press materials

If you do not wish to be photographed or recorded, please notify us in writing before your first class and we will make reasonable accommodations.

13. SMS and Communication

If you opt in to our SMS program by checking the consent checkbox on one of our forms, you agree to receive automated, recurring text messages from CostaLingo, including but not limited to:

• Class schedule and attendance notifications
• Tuition payment reminders
• Enrollment status updates
• School announcements and class updates

Consent to receive text messages is not a condition of enrollment, purchase, or any other service. Message and data rates may apply. Message frequency varies based on account activity (approximately 2–10 messages per month). You may opt out at any time by texting STOP to our number, and you can get assistance by texting HELP or contacting us at 502-576-5511 or admin@costalingo.com. 14. Assumption of Risk and Injury Release

You assume all risk of injury or harm associated with participation in activities at CostaLingo and agree to release, indemnify, defend, and forever discharge CostaLingo and its officers and staff from all liability, claims, demands, damages, costs, and expenses in the unlikely event of injury sustained by students during or as a result of their participation in CostaLingo activities.

15. Photographs and Uploaded Content

You grant CostaLingo a non-exclusive, royalty-free license to use, store, and process any photographs, documents, or other content you upload through the Service for the purposes of:

• Processing and evaluating enrollment applications
• Student identification and record-keeping
• Managing support requests and communications
• Compliance with applicable laws

You represent that you have the right to upload any content you submit and that such content does not infringe on the rights of any third party.

16. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of CostaLingo. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

17. Limitation of Liability

To the fullest extent permitted by applicable law, CostaLingo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any errors or omissions in the Service's content or functionality

18. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

19. Binding Arbitration and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law provisions.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms, your enrollment, or CostaLingo's services — including any question regarding their existence, validity, or termination — shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Louisville, Kentucky. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

20. Non-Discrimination

CostaLingo is committed to providing equal access to language education and compliance with all applicable federal, state, and local non-discrimination laws. We do not discriminate on the basis of race, color, religion, sex, national origin, disability, age, familial status, or any other characteristic protected by law in the enrollment of students or the delivery of our programs.

21. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide advance notice of material changes when required by applicable law and will identify the date on which updated terms take effect. Your continued use of the Service after any changes take effect constitutes acceptance of the updated Terms.

22. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
